Terms of Service

By creating an account or using PennaSystems, you agree to these terms. Please read them carefully — they set out your rights and responsibilities when using the platform.

By creating an account on PennaSystems, you agree to these Terms of Service and our Privacy Policy. If you do not agree, do not use the platform. You must be at least 18 years old to use PennaSystems.

3. The service

PennaSystems provides software tools for freelancers and creative professionals, including invoicing (PennaPay), client management (PennaSchedule), messaging (PennaConnect), file delivery (PennaShare), and inventory management (PennaVentory). The platform is operated by Rune Rævdal Walther (CVR 46426061) based in Denmark.

We reserve the right to modify, suspend, or discontinue any feature with 30 days' notice. Material changes that negatively affect you will be accompanied by the option to cancel and receive a pro-rata refund for prepaid annual plans.

5. Free tier and paid plans

Free tier: The free tier allows you to create and download an unlimited number of invoices for free. To keep your dashboard manageable, free accounts can save up to 5 invoices in their dashboard at any time. You can delete or archive older invoices to make room for new ones. There is no charge for creating, downloading, or sending invoices on the free tier. No credit card is required.

Paid plans: Paid plans are billed monthly or annually via Stripe. Prices are shown in the app and on pennapay.com. All prices are exclusive of VAT unless stated otherwise.

Cancellation: You may cancel your paid plan at any time. Cancellation takes effect at the end of the current billing period. No refunds are issued for partial periods.

Price changes: We will give at least 30 days' notice before changing plan prices. Continued use after the effective date constitutes acceptance.

When using PennaSystems, you agree not to:

7. Your content and data

You retain full ownership of all data you upload or create on PennaSystems (invoices, client records, files, messages). You grant PennaSystems a limited licence to store and process your data solely to provide the service.

By uploading Content to PennaSystems, you grant us a limited, non-exclusive, royalty-free, worldwide license to store, process, transmit, display, and back up that Content solely as necessary to provide the Service. This license terminates when you delete the Content or your account, except as required for our legal obligations (e.g. fraud investigation, tax record retention).

You are responsible for ensuring you have the right to upload and process any data about your clients, in compliance with GDPR. You must not use PennaSystems to send spam, fraudulent invoices, or illegal content.

PennaSystems is not a backup service. Files uploaded through the platform — including logos, attachments, and deliverables shared via PennaConnect conversations — are stored for the purpose of delivery and communication, not long-term archival. Download links for uploaded files are time-limited and may expire. You are responsible for maintaining your own copies of any files you upload. PennaSystems accepts no liability for loss of access to files due to link expiry, account termination, or service changes.
